1. Acceptance
By accessing the website or submitting a request, you confirm that you have read and accept these Terms and the linked policies. If you act for a company or other organization, you represent that you have authority to bind or represent it. If you do not accept, do not use the website or submit information through its channels.
The website is intended primarily for business and professional relationships in the industrial sector. It is not an online store and does not automatically reserve, contract or process payment for equipment.
2. Website operator
The website is operated by Servicios ESOL Operations Leaders, C.A. ("ESOL"), tax identification number RIF J-50603293-7, registered with the Second Commercial Registry of Anzoátegui State on September 25, 2024, under No. 4, Volume 45-A.
Location: El Tigre, Anzoátegui.
3. Website purpose and scope
The website presents the ESOL operating model, industrial capabilities, equipment categories, contact details and corporate content. Information is general and may not reflect the requirements, availability, configuration, documentation, price or mobilization conditions of a specific project.
No content constitutes legal, financial, technical, HSE or engineering advice for a particular operation. Users must obtain professional assessments and perform their own verification before making decisions.
4. Services and integration model
ESOL integrates and coordinates specialized equipment, operating partners, logistics, document validation, scheduling and operational control for oilfield and industrial services. Capabilities may be provided directly or through a network of independent owners, suppliers and contractors.
Mention of equipment, a brand, provider or location does not imply direct ESOL ownership, exclusivity, brand representation or an obligation to allocate a particular unit. The final structure will be stated in the relevant proposal or contract.
Within ESOL Industrial Bases, ESOL initially acts as a B2B connector between owners and investors to identify and assess industrial opportunities. Unless expressly agreed in writing, the website does not constitute brokerage, representation, agency, appraisal, legal or financial advice, and does not guarantee title, availability, price, return, financing or completion of a transaction.
5. Catalog, photographs and availability
Equipment sheets, photographs, years, capacities and codes are published for preliminary identification. They may be updated after inspections, maintenance, substitutions or document review. Images illustrate an identified unit or category and do not guarantee condition, color, accessories or configuration at mobilization.
All availability is subject to written confirmation, inspection, valid documentation, HSE conditions, location, route, personnel, maintenance, technical capability and commercial acceptance. An inquiry does not hold or reserve equipment. ESOL may propose an equivalent unit that meets the agreed scope.
6. Requests, WhatsApp and communications
The form, email and WhatsApp facilitate initial communication. A received message, automated confirmation, read receipt, conversation or document submission does not amount to acceptance of an offer and does not itself create a duty to mobilize, reserve or provide a service.
ESOL is bound only by documents issued or accepted by authorized representatives that identify, as applicable, scope, equipment, quantities, dates, location, price, taxes, payment, responsibilities, HSE, insurance and termination. Users must verify details before sending them and retain formal confirmation.
An owner or investor request, its automated reference, subsequent contact or receipt of documents does not publish an asset, create agency or exclusivity, or bind ESOL or any third party to buy, sell, lease, develop, visit or negotiate. Each opportunity requires documentary, technical, commercial and legal review by the parties before any commitment.
7. Quotations, pricing and contracting
Quotations remain valid for the period stated and depend on availability and express assumptions. Unless stated otherwise, pricing, currency, taxes, withholdings, fuel, mobilization, allowances, permits, waiting time, additional hours, custody and demobilization are governed by the proposal or contract.
If these Terms conflict with an accepted contract, service order or quotation, the specific document prevails for the subject it governs. Nothing on the website modifies an existing contract without the parties' written agreement.
8. User obligations
- Provide accurate, current, lawful and sufficient information and promptly correct errors.
- Have authority to represent the relevant organization and share third-party data or documents.
- Fully describe the scope, fluids or materials, location, access, hazards, restrictions, permits and site conditions.
- Do not send malware, unlawful content, another party's secrets, excessive personal data or documents obtained without authorization.
- Do not present the catalog as evidence of ownership, reservation, firm availability, certification or contractual approval.
- Cooperate with document, technical, HSE, compliance and fraud-prevention checks.
9. Technical, HSE and compliance requirements
Any service depends on the relevant technical and safety assessment. The customer must disclose hazards, the nature and compatibility of materials, entry requirements, ground conditions, loading and unloading points, emergency procedures and site-operator rules.
ESOL may suspend or decline an activity where information or documentation is missing, conditions are unsafe, unlawful conduct is requested or the scope materially differs from what was disclosed. This does not limit other rights under the contract or law.
10. Operating partners and third parties
Equipment owners, carriers, operators and other providers may be independent entities. Their duties are determined by the applicable agreements. Unless a contract states otherwise, no publication creates an employment, partnership, agency, franchise or representation relationship between ESOL and a third party.
Links to WhatsApp, LinkedIn, X, Instagram or other websites are provided for convenience. Those services apply their own terms and policies, and ESOL does not control their availability, content or independent data processing.
11. Technology, ASAD TECHNOLOGIES L.L.C-FZ and artificial intelligence
ASAD TECHNOLOGIES L.L.C-FZ, an independent legal entity based in Dubai, UAE, provides technology support, digital architecture, automation and AI-assisted optimization. It is not an ESOL subsidiary, branch, owner, commercial agent or party to ESOL operating contracts unless a signed document expressly states otherwise.
Automated tools may help organize information, identify missing data, analyze capacity or support planning, but their output is auxiliary and may contain errors. Quotation, compliance, HSE, selection and performance decisions require human and documentary validation.
12. Privacy and electronic communications
Data processing is governed by the Privacy Policy and browser technologies by the Cookies Policy. By using email or WhatsApp, you acknowledge the inherent risks of electronic communications and agree not to send sensitive information through unsuitable channels.
Electronic communications, signatures and records may be used as evidence to the extent permitted by applicable law. Users are responsible for the security of their devices, accounts and credentials.
13. Intellectual property
The website, design, code, text, graphics, ESOL-owned photographs, databases, visual identity and ESOL logos are protected by applicable law. Manufacturer marks, technical codes and third-party material belong to their respective owners and appear solely for legitimate identification.
You receive a limited, revocable, non-exclusive and non-transferable license to view the website for lawful business purposes. You may not copy, sell, republish, mass-extract, alter, create derivative works, remove notices, train models on unauthorized content or use marks in a way that suggests sponsorship without written permission or a legal exception.
14. Prohibited uses
- Attempt to breach, scan, overload, interfere with or bypass website security.
- Use bots, scrapers or automated processes that degrade the service or disregard technical instructions and applicable rights.
- Impersonate another person, forge headers, send spam, distribute malware or use channels for fraud.
- Post or transmit unlawful, discriminatory, defamatory, deceptive or rights-infringing content.
- Reuse catalog data to create misleading listings, advertise unconfirmed availability or compete unfairly.
15. Website availability and disclaimers
ESOL seeks to keep information secure and reasonably current but does not guarantee uninterrupted operation, absolute freedom from errors or malware, compatibility with every device or permanent availability of content. It may correct, update, withdraw or suspend the website without notice where necessary.
To the fullest extent permitted by law, the website and content are provided “as is” and “as available.” Implied warranties are disclaimed only to the extent legally permitted. Nothing excludes a warranty or liability that mandatory law does not allow to be limited.
16. Limitation of liability and indemnity
To the fullest extent permitted by law, ESOL is not liable for decisions based solely on general website information, temporary unavailability, indirect loss, lost profit, lost opportunity or acts of platforms and third parties outside its control. This limitation does not apply to fraud, gross negligence, personal injury or another liability that cannot lawfully be excluded.
Liability arising from a contracted service is governed by the specific contract. Users are responsible for damage and third-party claims caused by unlawful website use, false information, lack of authorization, rights infringement or breach of these Terms, to the extent permitted by law and without removing ESOL's own responsibility.
17. Force majeure
Neither party is liable for delay or inability to perform operating obligations caused by events reasonably beyond its control, including natural disasters, conflict, government action, road closures, widespread power or telecommunications failures, labor disturbance, epidemics or security events, without prejudice to contractual duties to notify, mitigate and pay accrued amounts.
18. Suspension and changes to these Terms
ESOL may restrict access where there is a security risk, abuse or breach. It may also amend these Terms to reflect legal, operational or technological changes. The date above identifies the current version. Material changes will be communicated by reasonable means where required by law and will apply prospectively.
19. Governing law, disputes and general provisions
These Terms are governed by the laws of the Bolivarian Republic of Venezuela. The parties will seek to resolve disputes in good faith. If no agreement is reached and no mandatory rule requires another forum, the courts of Anzoátegui State, Venezuela, will have jurisdiction.
If a provision is invalid, it will be adjusted or severed to the minimum extent necessary and the remaining provisions will continue. Failure to exercise a right is not a waiver. ESOL may assign these Terms as part of a reorganization or business transfer; the user may not assign them without consent where obligations are affected.
The English and Arabic versions are faithful translations. If they differ, the Spanish version prevails to the extent permitted by law. Headings are for convenience only.
